Community Marketplace Terms
Understand the responsibilities and safeguards that apply when creators showcase work through LuciRift.
These Community Marketplace Terms (the “Marketplace Terms”) govern access to and use of the LuciRift Community Marketplace, also called the “Community Market” or “Marketplace.” They form a legally binding agreement between you and LuciRift Studio (“LuciRift,” “we,” “our,” or “us”) and apply to visitors, Buyers, applicants, Sellers, creators, reviewers, and anyone who lists, purchases, licenses, downloads, promotes, reviews, supports, or otherwise interacts with a Marketplace Product.
These Marketplace Terms supplement the LuciRift Terms of Service and serve as the Seller Terms and Marketplace Guidelines referenced in LuciRift policies unless separate terms are presented for a particular feature, category, Seller program, Listing, or transaction.
By applying to sell, publishing or maintaining a Listing, purchasing a Marketplace Product, submitting a review, or otherwise using the Marketplace, you confirm that you have read, understood, and agree to these Marketplace Terms and all incorporated policies. If you do not agree, do not use the Marketplace.
1. Scope and Relationship to Other Terms
1.1 Marketplace Services
The Marketplace may allow approved Sellers to offer, license, sell, distribute, or perform digital products, software, VRChat assets, creative media, Commissions, custom services, physical merchandise, 3D-printed items, and other approved offerings. LuciRift may add, limit, rename, suspend, or remove categories or features.
1.2 Incorporated Policies
These Marketplace Terms incorporate, where applicable, the LuciRift Terms of Service, Privacy Policy, Refund Policy, AI Usage Policy, Community Guidelines, product licenses, transaction-specific terms, Seller onboarding disclosures, payment-provider requirements, category rules, and additional terms presented before a Listing is published or an order is completed.
1.3 Order of Precedence
If terms conflict, the following order applies to the relevant subject: (1) mandatory law; (2) transaction-specific terms, product licenses, or written service agreements; (3) the Privacy Policy for Personal Information; (4) the Refund Policy for refunds and related remedies; (5) these Marketplace Terms for Marketplace-specific matters; and (6) the general Terms of Service. A specific promise made for a completed transaction cannot be silently removed by a later general policy update.
1.4 Electronic Acceptance
LuciRift may require electronic acceptance during Seller application, onboarding, Listing publication, checkout, or use of a Marketplace feature. Electronic records may be used to the extent permitted by law.
2. Definitions
For these Marketplace Terms:
- “Account” means a LuciRift account used for the Marketplace.
- “Buyer” means a person or entity that purchases, licenses, orders, or receives a Marketplace Product.
- “Commission” means custom creative, technical, development, consulting, production, or similar work.
- “Digital Product” means software, downloadable content, digital assets, media, templates, licenses, credentials, or other electronically delivered products.
- “Independent Seller” means a Seller other than LuciRift.
- “Listing” means a Marketplace product or service page, storefront entry, offer, advertisement, preview, or description.
- “Marketplace Content” means Listings, profiles, previews, files, descriptions, media, documentation, reviews, messages, or other submitted material.
- “Marketplace Product” means any product, license, subscription, Commission, service, download, physical good, or other Marketplace offering.
- “Material AI Use” has the meaning stated in the AI Usage Policy.
- “Physical Product” means merchandise, 3D-printed items, made-to-order goods, or other tangible products.
- “Seller” means an approved individual, creator, business, or entity offering Marketplace Products.
- “Seller of Record” means the party legally identified as selling a Marketplace Product to the Buyer.
- “Seller Information” means identity, contact, tax, payment, business, trader, product-safety, and related Seller information.
- “Seller Proceeds” means transaction amounts attributable to a Seller after fees, taxes, refunds, disputes, reserves, reversals, and authorized adjustments.
- “User” means any person using the Marketplace. “You” and “your” mean the person or entity accepting these Marketplace Terms.
3. Eligibility and Accounts
3.1 Age and Legal Capacity
You may use the Marketplace only if you are at least eighteen (18), have reached the age of majority where you live, can enter a binding agreement, may lawfully use the Marketplace, satisfy any additional product or content age requirement, and have not been permanently removed without written authorization. The Marketplace is not directed to children, and restrictions may not be bypassed through another person’s Account.
3.2 Business Users
When acting for a company, studio, partnership, organization, or other entity, you represent that the entity validly exists where required, you may bind it, submitted information is accurate, and the entity accepts responsibility for activity through its Account.
3.3 Account Security
Keep Account information accurate and credentials secure. You may not share, sell, rent, transfer, or sublicense an Account except through an approved feature. Promptly report suspected compromise or unauthorized use of an Account, payment method, payout destination, license, download, API credential, or Seller dashboard.
4. Seller Applications, Approval, and Verification
4.1 Application and Verification
Selling requires LuciRift approval. Applicants may be required to provide accurate and current identity, age, contact, business, trader, tax, payout, portfolio, product-category, ownership, licensing, safety, regulatory, and prior-enforcement information, plus other information reasonably needed for payments, legal compliance, security, fraud prevention, or Marketplace quality.
LuciRift or an authorized provider may request reverification, updated records, ownership evidence, safety documents, or additional information at any time. Marketplace access may be suspended when required information is missing, inaccurate, expired, or not timely updated.
4.2 No Guaranteed Approval
An application does not guarantee approval, a review time, access to every category, sales, or continued access. LuciRift may approve, reject, waitlist, limit, condition, or request changes based on completeness, verification, product quality, Marketplace fit, rights, security, fraud, legal or provider restrictions, prior conduct, support readiness, category capacity, or other legitimate considerations. Confidential detection and risk methods need not be disclosed.
4.3 Public Seller Information
Profiles, Listings, checkout, receipts, or order confirmations may display a Seller’s public business name, location information, contact method, trader status, or other legally required disclosures. Sellers may not use false identities, impersonate others, conceal the responsible business behind an unrelated name, or misrepresent business status.
5. Marketplace Role and Seller of Record
5.1 Responsible Seller
The Listing or checkout identifies the Seller responsible for the Marketplace Product. Unless LuciRift is expressly identified as the Seller of Record, the Independent Seller is responsible for the product; Listing accuracy; pricing and licensing; delivery and support; updates; refunds, returns, repairs, replacements, cancellations, credits, and warranties; intellectual-property rights; safety, recalls, and regulatory compliance; taxes and business obligations; lawful use of Buyer information; and compliance with consumer, advertising, accessibility, export, sanctions, and other applicable laws.
5.2 Independent Relationship
An Independent Seller is not LuciRift’s employee, agent, partner, joint venturer, franchisee, representative, or fiduciary merely because the Seller uses the Marketplace. A Seller may not claim that LuciRift created, owns, guarantees, certifies, or endorses the Seller or product, or that the Seller can bind LuciRift, unless expressly authorized in writing.
5.3 Platform and Payment Facilitation
LuciRift may provide hosting, storefront, discovery, delivery, licensing, communications, moderation, support routing, payments, reporting, and dispute tools. Payment processing, routing, collection, holding, or transfer by LuciRift or a provider does not by itself make LuciRift the Seller of Record or transfer the Independent Seller’s obligations to LuciRift.
5.4 No Transaction Guarantee
LuciRift does not guarantee Seller approval, traffic, sales, reviews, income, Buyer suitability, transaction completion, payment authorization, performance by either party, a particular dispute outcome, or permanent product availability, compatibility, or support.
6. Seller Storefronts and Listing Requirements
6.1 Complete and Accurate Listings
Each Listing must give a reasonable Buyer enough information to understand the offer before purchase. Where applicable, disclose:
- the responsible Seller and an accurate title and description;
- what is and is not included, product type, delivery method, price, recurring charges, and unavoidable fees;
- supported platforms, versions, devices, regions, software, hardware, dependencies, installation, accounts, authentication, licenses, and third-party requirements;
- known material limitations, defects, incompatibilities, risks, permissions, telemetry, network activity, external services, or data collection;
- license scope, permitted uses, and whether source files, editable files, project files, support, or future updates are included;
- estimated service, production, delivery, or shipping information;
- transaction-specific refund, cancellation, return, replacement, or revision conditions;
- content ratings, mature-content warnings, Material AI Use, or No-AI Commitments where applicable;
- Physical Product materials, dimensions, variations, warnings, safety information, and legally required manufacturer or responsible-person details; and
- any disclosure required by LuciRift, a provider, a product category, platform rules, or law.
6.2 Representative Previews
Previews must fairly represent the product. Disclose optional or separately sold assets, post-processing not included, different versions, simulations, third-party content, mockups, Material AI Use, or other facts needed to avoid a misleading impression.
6.3 No Misleading Claims
Sellers may not make false, deceptive, unsupported, or materially incomplete claims about authorship, originality, ownership, exclusivity, human creation, AI use, performance, security, safety, compatibility, availability, customer results, popularity, scarcity, endorsements, certifications, affiliations, discounts, former prices, inventory, “lifetime” access, refunds, support, updates, warranties, legal compliance, platform approval, or protection from moderation, suspension, or bans. “Lifetime” and similar terms have the meaning stated in the Terms of Service and do not promise the Buyer’s lifetime or permanent third-party compatibility.
6.4 Listing Maintenance and Metadata
Sellers must promptly correct or pause a Listing when files are missing or corrupted; material information becomes inaccurate; compatibility changes; a security or safety issue arises; rights or authorizations expire; promised work cannot be performed; inventory or capacity is unavailable; a required disclosure is missing; or continued sale would be unlawful or misleading.
Unrelated keywords, tags, brands, names, categories, copied descriptions, or metadata may not be used to manipulate discovery. LuciRift may edit or remove inaccurate categories, labels, or search terms.
7. Product Categories, Restricted Products, and Prohibited Content
7.1 Category Approval
Sellers may offer only categories enabled for their Accounts. Higher-risk categories may require added review, contracts, insurance, documentation, age controls, testing, payment-provider approval, or regional limits. LuciRift may reject or remove any product presenting unreasonable legal, safety, security, payment, fraud, operational, or reputational risk.
7.2 Prohibited Products and Conduct
Sellers may not list, distribute, promote, request, or sell products that:
- violate law, court orders, sanctions, export controls, or binding obligations;
- infringe copyright, trademark, patent, trade-secret, publicity, privacy, contractual, or other rights, or contain stolen, leaked, ripped, pirated, counterfeit, or improperly licensed material;
- contain malware, ransomware, spyware, credential or token stealers, destructive code, hidden cryptocurrency miners, unauthorized remote access, or undisclosed data exfiltration;
- primarily facilitate fraud, phishing, identity theft, stalking, harassment, unlawful surveillance, unauthorized access, or unlawful bypass of licenses, access controls, paywalls, or technical protections;
- contain child sexual-abuse material, sexual content involving minors or age-ambiguous characters, non-consensual intimate imagery, actual animal sexual-abuse material, or other unlawful sexual content;
- deceptively impersonate a person, fabricate an endorsement, or misuse a person’s identity, voice, face, likeness, private information, or biometrics;
- contain credible threats, doxxing, extortion, targeted harassment, unsafe or recalled goods, prohibited regulated goods, fake reviews, fabricated sales, manipulated ratings, deceptive social proof, or materially false claims about origin, AI use, condition, contents, or capabilities;
- require unlawful conduct as an essential condition of ordinary use; or
- otherwise violate these Marketplace Terms or incorporated policies.
7.3 Security, Modding, and Platform-Dependent Products
Lawful game modifications, interoperability tools, security tools, developer utilities, and platform-dependent products may be allowed. Sellers must disclose material conflicts with third-party rules; anti-cheat, moderation, security, or account-enforcement risks; elevated permissions or system changes; version, API, game, service, software, or operating-system dependencies; and the possibility that third-party updates may disable the product.
Marketplace approval does not mean a third party authorizes a product. Sellers may not claim that use is undetected, ban-proof, risk-free, permanently compatible, or third-party approved unless documented and accurate.
7.4 Mature Content
Lawful adult content may be allowed only in enabled categories, regions, and payment arrangements. Sellers must be adults, label Listings before explicit material appears, use appropriate warnings and age controls, depict every sexualized character as clearly adult, hold required rights and consent, satisfy applicable verification or recordkeeping duties, and follow provider and platform rules.
Prohibited content includes sexual exploitation, non-consensual content, age-ambiguous sexual content, deceptive real-person replicas, child sexual-abuse material, and actual animal sexual-abuse material. Clearly adult fictional anthropomorphic content may be permitted. Explicit content involving identifiable real people may require prior written approval and documented age, identity, and consent verification. LuciRift may hide, age-gate, relabel, restrict, demonetize, or remove mature content.
7.5 Regulated and Higher-Risk Products
Products involving regulated goods, medical or legal claims, financial services, gambling, weapons, controlled substances, hazardous materials, surveillance, biometric processing, identity documents, or similarly high-risk subjects require prior written approval and may be prohibited. Approval is product-, Seller-, region-, and transaction-specific.
8. Product Quality, Software Security, and Physical-Product Safety
8.1 Seller Quality Responsibility
A Seller must use reasonable care to ensure that each Marketplace Product:
- materially matches its Listing;
- contains the promised deliverables;
- is not knowingly corrupted, unusable, unsafe, or materially defective;
- is tested to a level appropriate for its intended use;
- includes instructions or documentation reasonably necessary for use;
- does not include undisclosed technical or physical hazards; and
- is packaged and delivered in a manner appropriate to the product.
LuciRift may establish category-specific quality or documentation standards.
8.2 Software and Digital Files
A Seller of software or executable content must disclose material technical behavior, including where applicable:
- administrator or elevated-permission requirements;
- installed services, drivers, browser extensions, startup items, or persistent processes;
- telemetry, analytics, crash reporting, or Personal Information collection;
- network connections and external APIs;
- authentication, licensing, anti-tamper, or device-binding systems;
- automatic updates;
- bundled third-party components;
- material resource usage;
- required security exclusions; and
- material compatibility or account-enforcement risks.
A Seller may use reasonable code protection or obfuscation, but must not use it to conceal prohibited behavior. LuciRift may require a test build, source review, dependency list, reproducible explanation, malware scan, security questionnaire, or other evidence before or after publication.
8.3 Security Review
By submitting files, Sellers authorize LuciRift and its service providers to perform automated and manual actions reasonably necessary to operate and protect the Marketplace, including:
- malware and reputation scanning;
- static or dynamic analysis;
- sandbox execution;
- dependency and signature review;
- file conversion or preview generation;
- access-control and delivery testing;
- investigation of reported behavior; and
- preservation of relevant evidence.
A review does not guarantee that a file is safe, secure, error-free, or suitable for a Buyer’s environment.
8.4 Vulnerabilities and Incidents
A Seller must promptly notify LuciRift and affected Buyers when a Marketplace Product contains a confirmed material vulnerability, malicious component, exposed credential, unsafe configuration, or other serious issue.
LuciRift may pause delivery, remove files, notify users, require a corrected version, issue refunds or credits, preserve evidence, or report the matter where reasonably necessary or legally required.
8.5 Physical Products
A Seller of Physical Products is responsible for:
- lawful manufacture, sourcing, labeling, packaging, storage, and shipment;
- product instructions, warnings, age limits, and safety information;
- material, size, color, tolerance, and variation disclosures;
- manufacturer, importer, responsible-person, traceability, and contact information where required;
- required testing, conformity markings, registrations, and certificates;
- product recalls, corrective actions, and safety notices;
- shipping restrictions and carrier compliance; and
- compliance with consumer-product, environmental, accessibility, and product-safety laws.
A 3D-printed product may have layer lines, seams, support marks, small color differences, or other ordinary manufacturing characteristics. A Seller must not describe a safety defect, structural weakness, material substitution, or material deviation from the Listing as a normal printing variation.
A Seller must immediately pause a Listing and notify LuciRift if the product becomes unsafe, recalled, prohibited, or materially non-compliant.
9. Intellectual Property, Seller Ownership, and Marketplace License
9.1 Seller Ownership
As between LuciRift and the Seller, the Seller retains ownership of the Seller’s original Marketplace Content and Marketplace Products, subject to:
- rights owned by third parties;
- open-source, stock, base-model, asset-store, font, audio, software, and other component licenses;
- rights granted to Buyers;
- rights granted to LuciRift under these Marketplace Terms; and
- any separate written agreement.
Marketplace access does not transfer ownership of a Seller’s work to LuciRift.
9.2 Seller Representations
For every Listing and Marketplace Product, the Seller represents that:
- the Seller owns the content or has all rights needed to use, modify, advertise, license, sell, distribute, and support it;
- the Listing and Marketplace Product do not infringe or misappropriate another party’s rights;
- all third-party components are identified and used consistently with their licenses;
- required attribution, notices, source offers, disclosures, and license copies are included;
- customer-provided or Commission materials are used only as authorized; and
- the Seller can lawfully grant the rights promised to the Buyer and LuciRift.
9.3 License to LuciRift
By submitting Marketplace Content, the Seller grants LuciRift a worldwide, non-exclusive, royalty-free license to:
- host, store, reproduce, cache, back up, scan, analyze, encode, format, resize, crop, transcode, and technically process the content;
- display, transmit, distribute, and deliver it through the Marketplace;
- create previews, thumbnails, excerpts, and accessibility or compatibility versions;
- use public Listing and storefront content to operate, advertise, demonstrate, and promote the Marketplace and the Seller’s products;
- retain transaction and evidence copies as reasonably necessary for support, disputes, security, rights enforcement, and legal compliance; and
- authorize service providers to perform these actions on LuciRift’s behalf.
This license is limited to operating, securing, supporting, improving, and promoting the Marketplace and related transactions. It does not transfer ownership of the Seller’s work to LuciRift.
The license continues for as long as the content is available through the Marketplace and afterward only to the extent reasonably necessary for completed Buyer licenses, order history, backups, disputes, security, legal compliance, and archival records.
9.4 Buyer Licenses
The Seller must clearly state the license provided to Buyers. Unless a Listing expressly grants broader rights, a purchase grants only a limited, non-exclusive, non-transferable license to use the Marketplace Product for its stated purpose.
A Buyer does not receive ownership of the Seller’s copyright, trademark, source materials, reusable systems, internal tools, production methods, or other intellectual property merely by purchasing a Marketplace Product.
9.5 Commission Rights
A Commission Listing must identify the intended deliverables and usage rights. Unless expressly granted in writing, a Commission does not automatically include:
- source or project files;
- exclusive rights;
- copyright assignment;
- trademark rights;
- resale or redistribution rights;
- unlimited revisions;
- commercial usage; or
- ownership of the Seller’s pre-existing tools, templates, workflows, code, methods, or know-how.
9.6 Copyright and Rights Reports
A person who believes Marketplace Content infringes their rights may submit a detailed report through the LuciRift Support Center.
LuciRift may remove or restrict reported content, request additional information, notify the Seller, process a legally valid counter-notice where applicable, preserve evidence, and terminate repeat or serious infringers.
Knowingly submitting a materially false infringement notice, counter-notice, ownership claim, or forged authorization is prohibited.
10. Artificial Intelligence and Synthetic Media
10.1 Permitted Responsible Use
Manually created work, AI-Assisted work, and products containing AI-Generated Elements may be permitted when the product complies with these Marketplace Terms and the AI Usage Policy.
A Seller is not excluded or penalized solely for responsibly using AI. AI use does not reduce the Seller’s responsibility for accuracy, quality, rights, consent, security, support, and legal compliance.
10.2 Required AI Disclosures
A Seller must accurately disclose Material AI Use when required by:
- the Listing form or product category;
- LuciRift policy;
- a product license or agreement;
- a third-party platform;
- applicable law; or
- the context needed to avoid misleading a reasonable Buyer.
LuciRift may use labels including:
- AI-Assisted;
- Contains AI-Generated Elements;
- No Material Generative AI Use; and
- Synthetic or Manipulated Media.
The exact label and Listing description should explain the material facts rather than rely on a label alone.
10.3 No False Human-Made or AI-Free Claims
A Seller may not represent materially AI-generated work as entirely human-created when that would be materially misleading.
A Seller may not claim “AI-free,” “100% human-made,” “no generative AI,” “no AI tools,” or similar unless the claim is accurate for the stated scope and supported by the actual workflow.
A product-specific No-AI Commitment controls according to its exact wording. A promise of “no generative AI” is not automatically the same as “no AI tools.”
10.4 Rights, Consent, and Identity
Sellers must have the rights, permissions, licenses, releases, and consent necessary for AI inputs and outputs. AI may not be used to:
- launder or conceal infringement;
- deceptively impersonate a person or creator;
- fabricate an endorsement or customer experience;
- create prohibited non-consensual intimate imagery;
- clone a real person’s voice or likeness without required permission;
- conceal required provenance or disclosure information; or
- produce unlawful or prohibited content.
10.5 Platform Actions
LuciRift may request creation-process information, require or correct a disclosure, add a platform label, restrict promotion, pause delivery, remove a Listing, or suspend a Seller when reasonably necessary to address misleading, infringing, unsafe, unlawful, or non-compliant AI use.
AI-detector output alone is not necessarily conclusive proof. LuciRift may consider available context, files, metadata, explanations, rights documentation, and other evidence.
11. Pricing, Promotions, Fees, Payments, and Payouts
11.1 Pricing
Subject to Marketplace tools and law, Sellers set their own prices. Prices must be accurate and must disclose recurring charges, required shipping or customization costs, and other unavoidable fees before purchase. Discounts, former prices, scarcity, and limited-time claims must be genuine. LuciRift may correct or cancel an obvious pricing error before fulfillment and apply any remedy required by law for completed orders.
11.2 Marketplace Fees
Marketplace commissions, listing or subscription fees, processing and payout fees, currency conversion, tax-handling charges, promotional fees, reserves, or other Seller charges may apply. They will be disclosed through onboarding, the Seller dashboard, a fee schedule, category agreement, or other written notice before they apply.
Unless law or a specific notice states otherwise, charges are calculated under the terms in effect when the transaction occurs, future changes do not retroactively alter completed transactions, promotional waivers may end under their stated conditions, and Sellers remain responsible for charges incurred before suspension or termination.
11.3 Payment Processing and Payouts
Transactions and payouts may be handled by LuciRift or authorized providers. Users must satisfy provider verification, restricted-business, dispute, and acceptable-use requirements. LuciRift does not control every provider authorization, hold, reserve, closure, exchange rate, delay, or regional restriction.
Payout methods, minimums, schedules, currencies, and eligibility conditions will be disclosed through onboarding, the dashboard, or the provider. Payouts may be delayed, reserved, reduced, reversed, or withheld for incomplete verification; suspected fraud or compromise; refund, chargeback, or reversal exposure; negative balances; delivery, safety, quality, infringement, support, tax, sanctions, court-order, provider, legal, or material policy concerns. A hold is not by itself a finding of wrongdoing, and undisputed funds may be released when the risk is resolved or the hold ends.
11.4 Deductions and Negative Balances
Sellers authorize deductions or recovery for disclosed Marketplace and processing fees, taxes, refunds, returns, cancellations, credits, replacements, chargebacks, reversals, dispute costs, fraud, duplicates, overpayments, pricing corrections, reserves, legal obligations, and other amounts owed under these Marketplace Terms. If deductions exceed available Seller Proceeds, the Seller must pay the balance or permit lawful recovery from future proceeds or an available payment method.
11.5 Taxes
Each Seller is responsible for identifying, registering for, collecting, reporting, and paying taxes arising from Marketplace activity except where LuciRift or a provider must collect, withhold, remit, or report them. LuciRift or a provider may request tax forms, withhold payouts pending documentation, collect or remit taxes, issue reports, and disclose transaction information to authorities as required. LuciRift does not provide tax advice.
12. Orders, Delivery, and Fulfillment
12.1 Order Formation
A Listing is an invitation to place an order and is not a guarantee that an order will be accepted. An order may be subject to payment authorization, fraud review, availability, regional restrictions, verification, and Seller acceptance.
The transaction-specific Seller, product, price, license, taxes, and material conditions presented at checkout form part of the order.
12.2 Digital Delivery
A Seller must provide the promised digital files, license, access, or delivery instructions in the manner stated in the Listing.
Sellers must maintain their own backups and should not treat Marketplace hosting as permanent archival storage. LuciRift does not guarantee indefinite hosting of a Seller’s source materials or a Buyer’s downloads.
A Seller must not replace a purchased file with a materially different, lower-quality, unsafe, or more restrictive product without clear notice and any consent or remedy required by law.
12.3 Commissions and Services
A Commission or service Listing must state, where applicable:
- scope and deliverables;
- information or assets required from the Buyer;
- pricing and payment milestones;
- estimated timeline;
- revision limits;
- approval process;
- cancellation conditions;
- included usage rights; and
- whether public portfolio use is expected.
Timelines are estimates unless expressly guaranteed in writing. Sellers must communicate material delays and may not continue charging for undisclosed scope changes.
12.4 Physical Fulfillment
A Seller of Physical Products must:
- use an accurate shipping origin and delivery estimate;
- package products appropriately;
- provide tracking where promised or required;
- comply with shipping, customs, carrier, and restricted-item rules;
- use the Buyer’s information only for lawful fulfillment and support;
- address missing, damaged, defective, unsafe, or incorrect shipments; and
- provide legally required delay, cancellation, repair, replacement, refund, or recall options.
The Buyer is responsible for providing an accurate deliverable address and for customs, import, brokerage, or similar charges unless the Listing or law states otherwise.
12.5 Non-Delivery and Seller Failure
If a Seller does not deliver, becomes unresponsive, loses required rights, or cannot lawfully fulfill an order, LuciRift may contact the Seller, pause payouts, cancel the order, provide a refund or credit, restrict the Listing, or take another reasonable action.
LuciRift does not assume a Seller’s legal obligations merely by assisting with an unresolved order.
13. Buyer Responsibilities
Before purchasing, a Buyer must review the complete Listing, including compatibility, requirements, license, content labels, Seller identity, support scope, delivery information, and refund conditions.
A Buyer must:
- provide accurate payment, Account, delivery, and project information;
- use Marketplace Products only under the applicable license;
- maintain backups of downloaded files;
- protect license keys, download links, and Account access;
- install or use software in an appropriate test environment when risk warrants it;
- provide lawful materials and instructions for Commissions;
- communicate in good faith with Sellers and support personnel;
- avoid false, abusive, or duplicative reports and payment disputes; and
- comply with applicable law and third-party platform rules.
A Buyer may not:
- share, leak, resell, redistribute, sublicense, or publicly upload a Marketplace Product unless the license permits it;
- remove required attribution, copyright, license, AI, safety, or provenance information;
- reverse engineer or circumvent protection beyond what applicable law and the license permit;
- demand unpurchased work, unlimited revisions, or rights not included in the order;
- submit stolen, unlawful, infringing, or non-consensual materials for a Commission;
- threaten a Seller with a false review, chargeback, report, or harassment campaign to obtain an unpromised benefit; or
- use Buyer or Seller information for spam, stalking, scraping, data brokerage, or unrelated marketing.
14. Support, Updates, Compatibility, and Product Changes
14.1 Seller Support
The Independent Seller is responsible for product-specific support unless the Listing expressly states otherwise. A Seller must provide the support promised in the Listing and respond to legitimate order issues within a reasonable period based on the product and circumstances.
LuciRift may provide platform, Account, payment, delivery-system, reporting, or dispute assistance. LuciRift support does not automatically replace the Seller’s technical or product-specific support.
14.2 Updates
A purchase includes only the updates expressly promised by the Listing or license. A Seller may discontinue updates or support unless:
- a specific term promises continued service;
- a paid subscription or support period remains active;
- discontinuation would make a prior claim materially misleading; or
- applicable law requires another result.
A Seller must not advertise perpetual updates while intending to provide only a one-time file without clearly qualifying the claim.
14.3 Third-Party Compatibility
Marketplace Products may depend on VRChat, Unity, operating systems, games, APIs, app stores, payment providers, hosting, software libraries, hardware, or other third-party systems.
Neither LuciRift nor an Independent Seller controls every third-party update or policy. A third-party change may reduce compatibility, disable a feature, alter performance, or create an account-enforcement risk.
Sellers must make reasonable efforts to keep compatibility claims current but do not guarantee permanent third-party compatibility unless expressly stated.
15. Refunds, Returns, Cancellations, and Disputes
15.1 General Standard
Marketplace purchases are generally final unless a remedy is required by law, promised in the Listing or transaction terms, approved by the responsible Seller, provided by the LuciRift Refund Policy for a LuciRift sale, or imposed as a platform-level resolution. Submitting a request does not guarantee a refund, return, cancellation, replacement, exchange, repair, redelivery, credit, or other outcome.
15.2 No Fixed Voluntary Request Deadline
The Marketplace does not impose a fixed number of days for a voluntary refund or resolution request. A request may be submitted at any time, but a purchase does not remain automatically refundable forever. Time passed may affect available evidence, whether a product was downloaded, copied, used, modified, redeemed, or consumed, work and costs already incurred, a Physical Product’s condition, carrier or provider procedures, and the practicality of a requested remedy. Mandatory legal deadlines and independent provider, carrier, app-store, or external-platform deadlines still apply.
15.3 Case-by-Case Review
A voluntary request may consider delivery, Listing accuracy, disclosed requirements, the nature and reproducibility of a defect, use or work completed, support and troubleshooting, available evidence, fraud or abuse concerns, mandatory rights, and whether correction, redelivery, replacement, repair, re-performance, partial refund, full refund, exchange, or credit is reasonable. A resolution for one transaction does not create a precedent.
15.4 Seller Policies
Sellers may publish transaction-specific refund, return, cancellation, or revision terms consistent with these Marketplace Terms, the Refund Policy, provider requirements, and law. Seller terms may be more generous but may not waive mandatory rights, contradict pre-purchase promises, hide material conditions until after checkout, treat a materially defective or undelivered digital product as fulfilled merely because it is digital, prevent legitimate fraud reports, or block a platform action authorized here.
15.5 Dispute Assistance
Buyers should ordinarily contact the Seller first for product-specific help. Users may contact LuciRift regarding non-delivery, material misdescription, billing issues, fraud, compromise, unsafe or prohibited content, infringement, unresponsive parties, shipping or product-safety concerns, or another material Marketplace issue.
LuciRift may review relevant Listings, order and delivery records, downloads, license activity, communications, technical logs, refund history, files, and shipping information under the Privacy Policy. LuciRift may facilitate communication or make an administrative decision concerning Marketplace access, Listings, Accounts, funds held through the Marketplace, or available platform remedies, but does not finally adjudicate private legal claims between a Buyer and Independent Seller.
15.6 Platform-Level Resolutions
When reasonably necessary or required, LuciRift may require support, correction, redelivery, repair, replacement, or re-performance; issue or facilitate a full or partial refund or credit; cancel an unfulfilled order; hold, reverse, or deduct Seller Proceeds; revoke refunded access; restrict a User; pause or remove a Listing; or take another proportionate action for legal compliance, provider requirements, fraud, non-delivery, material misdescription, Seller failure, safety, security, infringement, or serious violations.
15.7 Chargebacks
Users retain legitimate rights concerning fraud, unauthorized charges, billing errors, non-delivery, defective or misdescribed products, and other protected issues. Knowingly false, abusive, duplicative, or fraudulent chargebacks are prohibited. LuciRift may provide relevant records and suspend fulfillment, licenses, payouts, or Accounts while a dispute is reviewed. A User may not receive both a refund and a successful chargeback for the same amount.
16. Reviews, Ratings, Endorsements, and Community Feedback
16.1 Honest Reviews
Reviews and ratings must reflect the reviewer’s genuine experience and opinion. A User may not:
- submit a review for a product they did not use or experience while claiming otherwise;
- create, purchase, sell, or arrange fake reviews or testimonials;
- use multiple Accounts to manipulate ratings;
- coordinate review bombing or artificial praise;
- misrepresent whether a review is independent;
- make a materially false factual accusation;
- include doxxing, threats, unlawful content, or unrelated harassment; or
- use a review to extort a refund, free work, private information, or another unpromised benefit.
16.2 Incentives and Insider Reviews
A Seller may not condition compensation, discounts, free products, access, or another incentive on a reviewer expressing a particular positive or negative sentiment.
Any permitted incentive, employment relationship, ownership interest, family relationship, or other material connection must be clearly disclosed where required.
16.3 Seller Conduct Toward Reviews
A Seller may respond to reviews professionally and may report content that violates these Marketplace Terms. A Seller may not retaliate against a Buyer for an honest negative review, expose private information, threaten the Buyer, or misuse support or reporting tools to suppress legitimate criticism.
16.4 Moderation
LuciRift may label a review as verified, unverified, incentivized, affiliated, edited, or otherwise contextualized. We may restrict or remove reviews that are fraudulent, manipulated, unlawful, irrelevant, abusive, privacy-invasive, or inconsistent with Marketplace rules.
LuciRift is not required to remove a review merely because a Seller disagrees with it.
17. Privacy, Customer Information, and Confidential Materials
17.1 Privacy Policy
LuciRift’s processing of Personal Information is governed by the Privacy Policy.
An Independent Seller may separately process Personal Information as an independent business for fulfillment, support, legal compliance, or another lawful transaction purpose. The Seller is responsible for its own privacy obligations.
17.2 Limited Use of Buyer Information
A Seller may use Buyer information received through the Marketplace only as reasonably necessary to:
- fulfill and support the order;
- deliver legally required notices;
- prevent fraud or misuse;
- maintain lawful business and tax records; or
- perform another purpose clearly authorized by the Buyer or law.
A Seller may not:
- sell or broker Buyer information;
- add a Buyer to unrelated marketing without required consent;
- use order information to harass, stalk, dox, profile, or discriminate unlawfully;
- scrape or combine Marketplace data for unrelated surveillance or advertising;
- disclose Buyer information publicly; or
- retain sensitive information longer than reasonably necessary.
17.3 Security
Sellers must use reasonable administrative, technical, and organizational safeguards appropriate to the information they receive. Access must be limited to persons who need it for an authorized purpose.
A Seller must promptly notify LuciRift of a suspected breach, unauthorized disclosure, Account compromise, or misuse involving Marketplace data and must cooperate with reasonable investigation, notice, containment, deletion, and remediation steps.
17.4 Commissions and Confidential Materials
A Seller must treat non-public Commission files, references, messages, credentials, code, business information, and other customer materials as confidential when the context reasonably indicates confidentiality or an agreement requires it.
A Seller may not publicly display or use non-public customer work for marketing without permission or an applicable project term allowing portfolio use.
17.5 Seller Information Disclosures
LuciRift may disclose Seller Information to Buyers, payment providers, service providers, rights holders, regulators, tax authorities, law enforcement, courts, or other parties when reasonably necessary to complete transactions, comply with law, protect users, resolve disputes, or enforce rights.
18. Promotions, External Links, and Off-Platform Activity
18.1 Marketplace Promotions
LuciRift may feature, rank, recommend, bundle, discount, advertise, or otherwise promote Marketplace Products. Participation in a paid or special promotion may be subject to additional terms.
LuciRift does not guarantee placement, impressions, clicks, conversion, sales, or continued promotion.
18.2 Seller Promotions
Seller advertisements and promotions must be truthful and comply with pricing, endorsement, email, social-media, contest, intellectual-property, and consumer-protection laws.
A Seller must not impersonate LuciRift, use LuciRift branding outside approved guidelines, or imply that an independent promotion is operated or guaranteed by LuciRift.
18.3 External Links
A Seller may include external links only where the Marketplace permits them and where the destination is relevant, lawful, secure, and accurately described.
Sellers may not use external links to:
- deliver malware or deceptive downloads;
- bypass age or content controls;
- evade Marketplace fees on a Marketplace-initiated transaction;
- collect unnecessary Personal Information;
- mislead Buyers about the responsible Seller;
- avoid refund, safety, or consumer obligations; or
- direct Users to prohibited content or activity.
18.4 Off-Platform Transactions
LuciRift is generally not responsible for a transaction completed outside the Marketplace. A Seller or Buyer who moves a transaction off-platform may lose access to Marketplace delivery, records, dispute tools, verified reviews, or support.
A Seller may not pressure a Buyer to complete an off-platform payment primarily to avoid Marketplace fees or safeguards.
19. Monitoring, Moderation, and Enforcement
19.1 Review Rights
LuciRift may, but is not required to, review:
- Seller applications and verification records;
- Listings, files, previews, descriptions, metadata, and licenses;
- product behavior, security, compatibility, and safety information;
- reviews, reports, messages, and support history;
- transaction, payout, refund, and dispute records; and
- other information reasonably relevant to Marketplace operation.
A failure to detect a violation does not waive LuciRift’s right to act later.
19.2 Marketplace Actions
Depending on the circumstances, LuciRift may:
- request information, correction, proof, testing, or remediation;
- add or correct a category, warning, disclosure, label, or Seller identification;
- reject, pause, hide, age-gate, geographically restrict, demonetize, or remove a Listing;
- suspend new orders, delivery, reviews, messaging, promotions, or Seller tools;
- hold or adjust Seller Proceeds;
- cancel or refund affected transactions;
- revoke or restrict licenses or downloads after a refund or confirmed violation;
- issue a warning or require training or policy acknowledgment;
- suspend or terminate an Account;
- preserve evidence;
- notify affected users, providers, rights holders, or authorities; or
- pursue other remedies permitted by law or the Terms of Service.
LuciRift will consider the nature, severity, history, risk, intent, cooperation, and potential harm where reasonably appropriate.
19.3 Urgent Action
LuciRift may take immediate temporary action without advance notice to address suspected malware, fraud, account compromise, unsafe products, non-consensual intimate imagery, child sexual-abuse material, credible threats, active infringement, payment risk, legal orders, or another urgent risk.
19.4 No General Monitoring Promise
LuciRift does not promise to pre-screen every Seller, file, Listing, message, review, or product update. Sellers remain responsible for compliance regardless of whether LuciRift reviewed or approved the material.
20. Suspension, Termination, and Appeals
20.1 Seller-Initiated Closure
A Seller may request closure of the Seller Account after completing or properly resolving open orders, support obligations, refunds, disputes, negative balances, and required records.
Closing a Seller Account does not automatically terminate Buyer licenses already granted or eliminate obligations arising from prior transactions.
20.2 Suspension or Termination by LuciRift
LuciRift may restrict, suspend, or terminate Marketplace access when reasonably necessary to:
- enforce these Marketplace Terms;
- protect Buyers, Sellers, rights holders, service providers, or LuciRift;
- investigate fraud, abuse, infringement, safety, or security concerns;
- address payment, payout, tax, or verification issues;
- comply with law, a court order, or provider requirement;
- respond to repeated support or fulfillment failures;
- stop material Listing misrepresentation;
- address serious or repeated policy violations; or
- discontinue a category, region, or Marketplace program.
Where applicable law requires notice, reasons, an opportunity to correct, or an appeal, LuciRift will provide the required process.
20.3 Appeals
A User may submit a good-faith appeal through the Support Center when an available Marketplace notice permits it or applicable law requires it.
An appeal should identify the action, explain why it should be changed, and provide relevant evidence. Repetitive, abusive, fraudulent, or materially unchanged appeals may be closed without further review.
20.4 Effect on Listings and Funds
After suspension or termination:
- Listings may be removed or made unavailable;
- new transactions may stop;
- existing orders may be completed, canceled, refunded, transferred, or otherwise resolved;
- Buyer licenses already granted may continue unless revoked under the license, refund, law, or enforcement action;
- Seller Proceeds may remain subject to fees, reserves, refunds, chargebacks, legal holds, and negative balances; and
- records may be retained as described in the Privacy Policy and applicable law.
20.5 Survival
Provisions concerning ownership, licenses, completed transactions, confidentiality, privacy, taxes, payment obligations, disputes, disclaimers, liability, indemnification, enforcement, and other terms that by their nature should continue will survive suspension or termination.
21. Disclaimers and Marketplace Risk
To the fullest extent permitted by law, the Marketplace is provided “AS IS” and “AS AVAILABLE.”
LuciRift does not warrant or guarantee that:
- every Seller identity, Listing, product, statement, file, review, or disclosure is accurate or complete;
- Marketplace review will discover every defect, vulnerability, infringement, unsafe condition, or unlawful act;
- a Marketplace Product will meet every Buyer’s needs;
- a Seller will provide support, updates, refunds, or continued availability beyond what is legally or contractually required;
- a Digital Product will remain compatible with future software, hardware, games, platforms, APIs, or services;
- a Physical Product will be suitable for an undisclosed use;
- a third-party platform will permit a Marketplace Product or refrain from warning, restricting, suspending, or banning an Account;
- Seller earnings, traffic, search placement, or customer demand will reach any level;
- the Marketplace will be uninterrupted, error-free, secure, or permanently available; or
- a dispute will be resolved in a particular way.
Marketplace approval, a verified badge, a file scan, a verified-purchase label, a ranking, or a featured placement is not an endorsement, legal opinion, safety certification, warranty, or guarantee.
Nothing in these Marketplace Terms excludes a warranty, remedy, or responsibility that cannot lawfully be excluded.
22. Liability and Indemnification
The disclaimers, limitations of liability, indemnification provisions, governing-law terms, and dispute provisions in the LuciRift Terms of Service apply to the Marketplace and are incorporated into these Marketplace Terms.
Without limiting those provisions, an Independent Seller is responsible for third-party claims arising from the Seller’s:
- Marketplace Products or Marketplace Content;
- Listing claims, licenses, warranties, or promises;
- infringement, misappropriation, or unauthorized use of rights;
- failure to fulfill, support, refund, repair, replace, or recall a product as required;
- product defect, safety issue, personal injury, property damage, or regulatory non-compliance;
- taxes, registrations, employment, business, or reporting obligations;
- misuse or unauthorized disclosure of Buyer information;
- fraud, deceptive practices, fake reviews, or unlawful advertising;
- breach of these Marketplace Terms; or
- violation of applicable law.
Any indemnification obligation is limited to the extent permitted by law and does not require a party to indemnify LuciRift for LuciRift’s own fraud, willful misconduct, or liability that cannot lawfully be shifted.
23. Changes to the Marketplace and These Terms
LuciRift may update the Marketplace, these Marketplace Terms, category rules, fee schedules, verification requirements, or Seller tools to reflect changes in:
- products or features;
- technology or security;
- payment or tax systems;
- legal or regulatory obligations;
- Marketplace risk and quality standards;
- third-party provider requirements; or
- business operations.
Updated Marketplace Terms will be posted with a revised date and become effective on the stated effective date.
Where reasonably practical or legally required, LuciRift will provide advance notice of a material change affecting active Sellers, fees, payouts, or ongoing services. Changes apply prospectively and do not silently remove rights already granted for a completed transaction.
If you do not agree with an update, you must stop using the affected Marketplace feature and, if you are a Seller, follow the available Account-closure process after resolving outstanding obligations.
24. Governing Law and Miscellaneous
These Marketplace Terms are governed by the governing-law and venue provisions in the LuciRift Terms of Service, subject to mandatory consumer and local-law rights that cannot be waived.
If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
A failure or delay by LuciRift to enforce a provision is not a waiver. A waiver is effective only when made in writing by an authorized LuciRift representative.
A User may not assign or transfer a Marketplace Account, order, Listing, Buyer license, or rights under these Marketplace Terms without prior written consent except where the applicable license or law expressly permits it.
Section headings are for convenience and do not affect interpretation. If these Marketplace Terms are translated, the English version controls to the extent permitted by law if a conflict exists.
25. Contact and Reports
Marketplace support, Seller applications, transaction concerns, appeals, legal notices, copyright reports, privacy concerns, security reports, unsafe-product reports, prohibited-content reports, and questions about these Marketplace Terms may be submitted through the official LuciRift Support Center:

Include enough information for LuciRift to identify and review the matter, such as:
- the Listing URL;
- Seller or Buyer Account name;
- order or transaction ID;
- affected product or file;
- a clear description of the issue;
- relevant dates and communications; and
- supporting screenshots, photographs, logs, ownership records, licenses, shipping evidence, or other documentation.
For urgent reports involving malware, active account compromise, child sexual-abuse material, non-consensual intimate imagery, credible threats, or a dangerous Physical Product, clearly identify the urgent nature of the report.
